Flinders Resources Limited Announces Engagement of Syndicate of Agents

VANCOUVER, March 27, 2012 - Flinders Resources Limited ("Flinders") (TSX VENTURE: FDR). Further to yesterday's press release (March 26, 2012), Mr. Martin McFarlane, President & CEO, is pleased to announce that Flinders has engaged a syndicate of agents led by Cormark Securities Inc. and including Euro Pacific Canada Inc., Dundee Securities Ltd., Byron Capital Markets Ltd. and Octagon Capital Corporation in connection with its private placement of up to 8,823,530 units at a price of $1.70 per unit for gross proceeds of up to $15 million. Each unit will consist of one common share and one half common share purchase warrant. Each whole warrant will be exercisable at $2.20 per common share for a period of two years from the date of closing of the private placement.

The securities issued under the placement will be subject to a four-month hold period from the date of closing. The closing of the private placement is subject to, among other things, final acceptance from the TSX Venture Exchange and is expected to close on or about April 17, 2012.

The net proceeds of the private placement will enable Flinders to substantially advance the Kringel graphite mine in Sweden toward production.
