Crocodile Gold Closes Previously Announced Convertible Debenture Offering of $34.5 Million, Including Exercise of the Over Allotment Option in Full

TORONTO, ONTARIO -- (Marketwired - April 5, 2013) - Crocodile Gold Corp. (TSX:CRK) (OTCQX:CROCF) (FRANKFURT:XGC) ("Crocodile Gold" or the "Company") today closed its previously announced $34.5 million offering of 8.0% convertible unsecured debentures (the "Debentures"), including the exercise of the over allotment option in full. The Debentures were sold pursuant to an agency agreement with Raymond James Ltd.

The Debentures will mature on April 30, 2018 (the "Maturity Date"), unless earlier converted or redeemed, and will bear interest, accruing, calculated and payable semi-annually in arrears on October 31 and April 30 in each year commencing October 31, 2013, at a rate of 8.0% per year. The Company will have the option to pay such interest by delivering common shares of the Company ("Common Shares") to a trustee for sale, in which event holders of the Debentures will be entitled to receive a cash payment from the proceeds of such sale equal to the interest owed.

The Debentures will be convertible at the holder's option into Common Shares at any time prior to the close of business on the Maturity Date at a conversion price per Common Share (the "Conversion Price") of $0.25, subject to customary adjustment events.

Other than in the context of a change of control, the Debentures will not be redeemable before April 30, 2015. On or after April 30, 2015 and prior to the Maturity Date, the Debentures will be redeemable in whole or in part from time to time at the option of the Company at a price equal to the principal amount thereof plus accrued and unpaid interest, provided that the volume weighted average trading price of the Common Shares on the Toronto Stock Exchange (the "TSX") for the 20 consecutive trading days ending on the fifth trading day preceding the day prior to the date upon which the notice of redemption is given is at least 150% of the Conversion Price.

Net proceeds from the offering are intended to be used to fund key projects that will further the growth of the Company in both the Northern Territory and State of Victoria.
