Victory Nickel Announces Results of Annual and Special Meeting

TORONTO, ONTARIO -- (Marketwired) -- 06/28/13 -- Victory Nickel Inc. ("Victory Nickel" or the "Company") (TSX: NI) today announced the results of its annual and special meeting of shareholders ("AGM") held on June 27, 2013.
All of the nominee directors listed in Victory Nickel's management information circular dated May 22, 2013 (the "Circular") were elected as directors. The results of the shares voted in respect of the election of each director were as follows:

Shareholders of the Company also confirmed, ratified and approved an advance notice by-law (the "By-law") that was approved for adoption by the board of directors on May 27, 2013 (see news release dated May 28, 2013). The By-law requires advance notice to the Company in circumstances where nominations of persons for election as a director of the Company are made by shareholders other than pursuant to: (i) a requisition of a meeting made pursuant to the provisions of the Business Corporations Act (Ontario) (the "Act"); or (ii) a shareholder proposal made pursuant to the provisions of the Act. At the AGM, shareholders also voted in favour of:
-- Re-appointing BDO Canada LLP, Chartered Accountants, Licensed Public
Accountants, as the auditor of the Corporation and authorizing the
directors to fix the auditor's remuneration;
-- Authorizing the board of directors to set the number of directors from
time-to-time within the minimum and maximum number of directors set
forth in the articles of the Corporation, in accordance with Section
125(3) of the Business Corporations Act (Ontario), provided that the
total number of directors so set may not exceed one-third of the number
of directors elected at the previous annual meeting of shareholders;
-- Approving all unallocated options, rights and other entitlements under
the Company's stock option plan; and,
-- Approving all unallocated rights and other entitlements under the
Corporation's share incentive plan.
