Great Bear Resources Ltd.: Share Consolidation

Vancouver, June 28, 2013 – Great Bear Resources Ltd. (the “Company”) announces that effective as of the opening Friday, July 5, 2013, the consolidated common shares of the Company will commence trading on the TSX Venture Exchange (the “Exchange”), on the basis of one (1) post-consolidated common share for every five (5) pre-consolidated common shares held (the “Consolidation”).

The consolidation was approved by the shareholders at the Company’s Annual General and Special Meeting held on June 8, 2012 and by the Exchange. At current date, the Company has 61,244,652 common shares issued and outstanding and the Company will have approximately 12,248,930 common shares issued and outstanding post-consolidation.

The Company’s new CUSIP number is 390143204 and new ISIN number is CA3901432045.

A Letter of Transmittal with respect to the Consolidation will be mailed to the shareholders of the Company.

All shareholders will be required to send their respective certificates representing the pre-consolidated common shares along with a properly completed Letter of Transmittal to the Company’s transfer agent, Computershare Investor Services Inc. (“Computershare”), in Toronto, Ontario, all in accordance with the instructions provided in the Letter of Transmittal. Additional copies of the Letter of Transmittal can be obtained through Computershare (Shareholder Services 1-800-564-6253 or by e-mail to corporateactions@computershare.com). All shareholders who submit a duly completed Letter of Transmittal along with their respective pre-consolidated common share certificate(s) to Computershare, will receive a post –consolidated common share certificate.


Adjournment of 2013 Annual General and Special Meeting

As announced on June 13, 2013, the Company’s 2013 Annual General Meeting has been adjourned to Friday, July 12, 2013 at 11:30 o’clock a.m. Pacific time, at the offices of McMillan LLP, Suite 1500 – 1055 West Georgia Street, Vancouver, British Columbia.
