Algold Resources announces closing of private placement

MONTREAL, July 12, 2013 - Algold Resources Ltd. ("Algold" or the "Company") (TSXV: KKV) is pleased to announce the closing of a private placement (the "Private Placement") of 6,774,998 units (the "Units") at a price of C$0.15 per Unit for gross proceeds of approximately C$1,016,250. Each Unit is comprised of one common share of the Company (a "Common Share") and one Common Share purchase warrant (a "Warrant"). Each Warrant entitles the holder to purchase one Common Share at a price of C$0.20 at any time prior to January 11, 2015.
The Private Placement forms part of a solicitation by Algold of up to 20,000,000 Units, for total gross proceeds of up to $3 million.
In connection with the Private Placement, Algold paid a cash commission of $40,000 and issued 266,000 agent's warrants, each entitling the holder to subscribe for one Unit at a price of $0.20 at any time prior to January 11, 2015. Keira Capital Inc. and Medea Capital Partners Limited assisted the Company as financial advisors.
All securities issued in connection with the Private Placement are subject to a statutory hold period of four months plus one day.
The proceeds of the Private Placement will be used principally to fund exploration activities on the Company's Mauritania Project, and for general working capital purposes.
These securities have not been and will not be registered under the United States Securities Act of 1933, as amended, (the "U.S. Securities Act") or any state securities laws and may not be offered or sold within the United States unless registered under the U.S. Securities Act and applicable state securities laws or an exemption from registration is available.
