AuRico Gold Completes Tender Offer for Convertible Notes

Tenders Received for 99.6% of Outstanding Principal Amount

TORONTO, April 3, 2014 /CNW/ - AuRico Gold Inc. (TSX: AUQ) (NYSE: AUQ), AuRico Gold Inc. ("AuRico" or the "Company") (TSX: AUQ, NYSE: AUQ) today announced that it has completed its cash tender offer (the "Tender Offer"), initially announced on March 6, 2014, for any and all of its 3.50% Convertible Notes due 2016 (the "Convertible Notes"). The Tender Offer expired at 12:00 midnight Eastern Time on April 2, 2014 (the "Expiration Time").

As of the Expiration Time, the Company had received valid tenders for approximately $166,354,000 of the outstanding $167,000,000 principal amount of Convertible Notes, as reported by the Information and Tender Agent, and no such tenders had been withdrawn. On April 3, 2014 (the "Payment Date"), tendered holders received consideration in the amount of $1,040 for each $1,000 principal amount of Convertible Notes tendered, plus accrued and unpaid interest from the last interest payment date to, but not including, the Payment Date.

RBC Capital Markets and Credit Suisse acted as Dealer Managers, and Global Bondholder Services Corporation acted as Information and Tender Agent.
