Osisko Announces Normal Course Issuer Bid
MONTREAL, QUEBEC--(Marketwired - Nov 17, 2014) - Osisko Gold Royalties Ltd. (TSX:OR) ("Osisko" or the "Corporation") today announced its intention to commence a normal course issuer bid to purchase for cancellation, from time to time, up to the greater of: 5% of the issued and outstanding common shares of the Corporation ("Common Shares"); and 10% of the public float (as that term is defined in the policies of the Toronto Stock Exchange ("TSX") over a 12-month period (the "Program"). The commencement of the Program is subject to TSX approval.
Repurchases under the Program may be made through the facilities of the TSX or alternative trading platforms or by such other means permitted by the TSX. Osisko will pay the prevailing market price at the time of purchase. The actual number of Common Shares repurchased under the Program and the timing of such repurchases will be at Osisko's discretion and shall be subject to the limitations set out in the TSX Company Manual.
The board of directors of Osisko believes that the underlying value of the Corporation may not be reflected in the market price of the Common Shares from time to time and that, accordingly, the purchase of Common Shares will increase the proportionate interest in the Corporation of, and be advantageous to, all remaining shareholders of the Corporation.
As of November 17, 2014, there were 47,900,457 Common Shares issued and outstanding.
