Silver Bear Appoints Graham Hill as CEO

TORONTO, ONTARIO--(Marketwired - Nov 18, 2014) - Silver Bear Resources Inc. ("Silver Bear" or the "Company") (TSX:SBR) announces that Mr. Graham Hill has been appointed as the Chief Executive Officer and as a director of the Company effective November 17, 2014. Mr. Hill is a qualified mechanical engineer who has over 25 years of experience building and operating gold, silver, coal and mineral sand mines internationally. He has held senior management positions with a number of companies and has been involved in the building of the Yatela and Sadiola gold mines in Mali for Anglo America and was responsible for the development and management of Oxus Resources' Jerooy and Amantaytau gold and silver mines in Central Asia. Most recently, Mr. Hill was the Chief Operating Officer for Axmin Inc., responsible for overseeing the Feasibility Study and early development of the Passendro Gold project in the Central African Republic. Mr. Hill holds an honours degree in mechanical engineering from Sheffield Hallam University. Mr. Hill is currently based out of London, England but will relocate to Moscow to directly oversee the Company's operations in the Russian Federation.

In conjunction with Mr. Hill's appointment, Mr. Mark Trevisiol has resigned as the President, Chief Executive Officer and as a director of the Company.

Graham's extensive experience in developing projects in the FSU and elsewhere will stand the Company in good stead as we proceed with the development of mining operations at our Mangazeisky project. In connection with his appointment, Mr. Hill will receive 6,500,000 stock options of the Company as follows: (i) 2,500,000 stock options at a price of $0.175 per option exercised that vest in three equal tranches from the date hereof over a three year period; (ii) 2,500,000 stock options at a price of $0.25 per option exercised to vest in three equal tranches from the date hereof over a three year period; and (iii) 1,500,000 stock options at a price of $0.30 per option exercised to vest in three equal tranches from the date hereof over a three year period. The options remain subject to a statutory four month hold period and will expire five years from the date of grant. The options are subject to receipt of all necessary regulatory approvals, including the approval of the TSX.
