Mineral Hill Industries Ltd: Corporate Update
RICHMOND, December 1, 2014 - Mineral Hill Industries Ltd. (the "Company") (TSX Venture Exchange: MHI, Frankfurt Stock Exchange: N8Z1/WKN: AODLHP, Pink Sheets: MHIFF) wishes to announce that at its Annual General Meeting held on November 27, 2014 (the "AGM"), Messrs. Rafael Pinedo, Grant Hendrickson, Andrew von Kursell, and Dieter Peter were re-elected as directors and two new directors, Messrs. Milo Filgas and Eric Peter-Kaiser, were added to the Company's board of directors ("Board"). The Company thanks Mr. Jackson and Mr. McKnight for their contributions to the Company during their tenures as directors. Mr. Milo Filgas is a Marine Engineer and has over 55 years of experience in the mining and milling industries in Canada. He is the owner and President of R. F. Fry & Associates (Pacific) Ltd, a well-known mining and milling contractor in Canada. Mr. Filgas has extensive experience in the Canadian mining industry, mine development as well as operations and has a thorough knowledge of Canadian mining and Labour Laws. Mr. Filgas has served as director of public companies in Canada.
Mr. Peter-Kaiser, B.Sc., possesses a Bachelor of Science degree in Business Administration and has over 10 years of experience working in the Film Industry. He has extensive experience in film production, finance, development, marketing, distribution, brands, and new media. He has a proven record meeting goals, budgets and delivering a consistent job performance. Eric continues to act as Corporate Secretary of MHI's wholly owned subsidiary Veritas Resources.
At the Company's AGM, Davidson & Company LLP were re-appointed as the Company's auditors.
The Company's shareholders passed a resolution approving and ratifying the number of shares reserved for issuance under the Company's stock option plan to be 2,019,990 shares. The disinterested shareholders also passed a resolution to approve a limit of 20% of the outstanding common shares of the Company for grants of stock options to insiders and employees under the Company's Stock Option Plan.
At the board meeting held immediately after the AGM, the following officers and committee members were appointed:

The Board nominated and approved also the directors and officers of its mining subsidiary Veritas Resources Corp., registered in California (USA), which are Messrs. Dieter Peter, Director & Chairman, Andrew von Kursell, Director & President, and Eric Peter-Kaiser as resident Director & Corporate Secretary.
The Company also granted an aggregate of 732,500 incentive stock options to its officers, directors and employees at an exercise price of $1.00 per share. These options are granted for a two-year period and the grant is subject to vesting provisions.
