Altius Acquires Stake in Evrim Resources Corp.
ST. JOHN'S, May 5, 2015 /CNW/ - Altius Minerals Corp. ("Altius") (TSX:ALS) announced today that it has acquired control over 1,800,000 common shares of Evrim Resources Corp. ("Evrim") (TSXV:EVM), representing 4.77% (on a non-diluted basis) of the outstanding common shares of Evrim. These 1,800,000 common shares over which Altius acquired control are owned by Callinan Resources Corporation, a wholly-owned subsidiary of Altius which was acquired by Altius on May 5, 2015, pursuant to a court-approved plan of arrangement under the Canada Business Corporations Act (the "Arrangement").
Prior to the Arrangement, Altius had control over 4,117,875 common shares of Evrim, representing 10.90% (on a non-diluted basis) of the outstanding common shares of Evrim. These 4,117,875 common shares of Evrim are owned by Altius Investments Limited, a wholly-owned subsidiary of Altius.
As a result of the acquisition of the additional 1,800,000 common shares of Evrim, Altius now exercises control over 5,917,875 common shares of Evrim, representing 15.67% of the outstanding shares of Evrim (on a non-diluted basis).
The Evrim common shares over which Altius exercises control will be held for investment purposes and may be sold, or additional securities of Evrim may be acquired, in the future as Altius considers appropriate in light of investment criteria, market conditions and other factors and in accordance with the provisions of applicable securities legislation.
