Bond Resources Announces Private Placement
Vancouver, November 3, 2020 - Bond Resources Inc. (CSE: BJB) (FSE: 5B1) (the "Company" or "Bond") announces that it has arranged a non-brokered private placement of up to $3,000,000 (the "Financing") through the issuance of up to 20,000,000 units (the "Units") at a price of $0.15 per Unit. Each Unit will be comprised of one common share and one common share purchase warrant ("Warrant"), with each Warrant entitling the holder to purchase one common share of Bond at a price of $0.40 per share for a period of 2 years, provided that, if after the expiry of all resale restrictions, the closing price of the Company's Shares is equal to or greater than $0.60 per share for 20 consecutive trading days, the Company may, by notice to the Warrant holders (which notice may be by way of general news release), reduce the remaining exercise period of the Warrants to not less than 30 days following the date of such notice.
The Company may pay finders' fees in accordance with the policies of the Canadian Securities Exchange. Certain directors, officers and insiders of the Company may participate in this Financing.
The proceeds of the private placement will be budgeted as follows:

All securities issued in connection with the Financing will be subject to a statutory hold period of four months plus one day from the date of issuance in accordance with applicable securities legislation. The private placement is not subject to a minimum aggregate amount of subscriptions.
There is no material fact or material change about the Company that has not been generally disclosed.
