VANCOUVER, British Columbia, Nov. 23, 2011 /PRNewswire/ -- Lori McClenahan, President of St. Elias Mines Ltd.
('St. Elias' or the 'Company') announces the results of the Annual and Special General Meeting of its shareholders held on November 17, 2011 (the 'Meeting'):Shareholders of the Company approved the following resolutions that were presented by management of St. Elias:
1. The appointment of Ernst & Young LLP as auditors for the Company until the next Annual General Meeting and the authorization for the board of directors of the Company to determine the auditors' remuneration;
2. The fixing of the number of directors of St. Elias at five and the election of Murry Braucht and Tina Whyte as directors of the Company. The directors of the Company for the ensuing year are:

3. A special resolution approving the Plan of Arrangement between the Company and the Company's wholly owned subsidiary Havilah Mines Ltd. ('Havilah') (the 'Arrangement'). Final court approval for the Arrangement was received from the Supreme Court of British Columbia on November 18, 2011. TSX Venture Exchange acceptance is currently being sought for the Listing of the common shares of Havilah pursuant to the terms of the Arrangement.
4. Adoption of an Incentive Stock Option Plan by Havilah; and
5. Adoption of a Shareholder Rights Plan by Havilah.
