The net proceeds of the private placement will be used for general working capital purposes and is subject to regulatory approval. Insiders of the Company will be participating in the private placement which is expected to close on January 30, 2015.
Subsequent to the private placement, the number of common shares of the Company issued and outstanding will be 24,323,996.
