Northair Silver Securityholders Approve Business Combination With Kootenay Silver

VANCOUVER, April 14, 2016 - Northair Silver Corp. (TSX VENTURE:INM) (the "Company" or "Northair") is pleased to announce that securityholders of Northair have approved the previously announced business combination with Kootenay Silver Inc. (TSX VENTURE:KTN) ("Kootenay"), to be completed by way of a plan of arrangement (the "Arrangement"), at a special meeting held earlier today. Under the terms of the Arrangement, Kootenay will acquire all the issued and outstanding common shares of Northair in exchange for 0.35 of a common share of Kootenay, plus 0.15 of a warrant to purchase Kootenay common shares at an exercise price of $0.55 for a period of five years from closing, for each Northair share held.

Securityholder participation was very high, with 72.39% of the Company's outstanding securities having exercised their vote. Northair would like to thank all of its securityholders for their support, engagement and participation, and looks forward to the future prospects of the combined company as a leading Mexican silver explorer and developer.

Northair will be seeking final court approval of the Arrangement on April 19, 2016 and, subject to the satisfaction of certain customary closing conditions, the Arrangement is anticipated to be completed on or about April 21, 2016. If closing occurs as contemplated Northair's shares are expected to trade until market close on Wednesday April 20th and be de-listed on Thursday, April 21st.

The Northair disclosure of a scientific or technical nature contained in this news release was reviewed by David Ernst, a professional geologist and vice-president of exploration of Northair, who is a Qualified Person in accordance with the requirements of NI 43-101.

The Kootenay Silver technical information in this news release has been prepared in accordance with the Canadian regulatory requirements set out in NI 43-101 and reviewed on behalf Kootenay Silver by James McDonald, P.Geo, President, CEO & Director for Kootenay, a Qualified Person.
