B.C. Supreme Court Approves Kootenay Silver - Northair Silve Silverr Business Combination

VANCOUVER, Apr 19, 2016 - Northair Silver Corp. (TSX VENTURE:INM) ("Northair") and Kootenay Silver Inc. (TSX VENTURE:KTN) ("Kootenay") are pleased to announce that Northair obtained a final order from the Supreme Court of British Columbia today approving the previously announced business combination, pursuant to which Kootenay will acquire Northair. See the joint news releases dated January 13 and February 8, 2016 for further details.
Under the terms of the combination, Kootenay will acquire all the issued and outstanding common shares of Northair in exchange for 0.35 of a common share of Kootenay, plus 0.15 of a warrant to purchase Kootenay common shares at an exercise price of $0.55 for a period of five years from closing (the "Kootenay Consideration Warrants"), for each Northair share held.
Closing of the business combination is currently anticipated to occur on Thursday, April 21, 2016. Assuming an April 21 closing date, the last trading day for Northair shares on the TSX Venture Exchange is expected to be Wednesday, April 20, 2016 and the Northair shares are expected to be de-listed as of Thursday, April 21, 2016.
The Kootenay Consideration Warrants are currently expected to be listed for trading on the TSX Venture Exchange for market open on Friday, April 22, 2016. Any changes to the aforementioned dates will be disclosed on a timely basis.
