SASKATOON, May 10, 2016 - Potash Corporation of Saskatchewan Inc. (PotashCorp) (Symbol: POT, Listed: TSX, NYSE) announced that the thirteen nominees listed in the management proxy circular for the 2016 Annual and Special Meeting of Shareholders were elected as directors of PotashCorp earlier today at the shareholder meeting held in Saskatoon, Saskatchewan.Detailed results of the vote for the election of directors held at the meeting are set out below.

At the meeting, shareholders also voted: (i) to approve the appointment of Deloitte LLP as auditors of the company (97.56% voted in favor), (ii) to approve the adoption of PotashCorp's 2016 Long-Term Incentive Plan (80.49% voted in favor), (iii) to approve the advisory resolution accepting PotashCorp's approach to executive compensation (92.50% voted in favor), and (iv) against a shareholder proposal (68.36% voted against).
