Northcore Calls an Annual and Special Meeting of its Shareholders
MONTREAL, QUEBEC--(Marketwired - Feb 6, 2014) - Northcore Resources Inc. (« Northcore » or the « Corporation ») (TSX VENTURE:NCR) wishes to announce that it has called an Annual and Special meeting of its shareholders for February 25, 2014.
The meeting is called to:
| 1‐ | Appoint the Corporation's Auditors for the coming year; |
| 2‐ | Elect five (5) Directors to the Board of Directors; |
| 3‐ | Approve the Annual Resolution authorizing the Share Option Program; |
| 4‐ | Consolidate the Corporation's share on a maximum basis of twenty (20) old shares for one (1) new share, the final ratio to be determined by the Board of Directors at their discretion; |
| 5‐ | Establish Restricted Share Units ("RSU") and Deferred Share Units ("DSU") incentive programs for Directors, Officers, Employees and Consultants, and Approve the grant of one million RSUs to a Director. |
| The persons who might be beneficiaries under these programs will not be eligible to vote their shares under this Resolution. |
