Dynasty Gold Closes Non-Brokered Private Placement

Vancouver, November 25, 2022 - Dynasty Gold Corp. (TSXV: DYG) (FSE: D5G1) (OTC Pink: DGDCF) ("Dynasty" or the "Company") is pleased to announce that, subject to the Exchange's approval, it closes a private placement of 2,429,059 units for gross proceeds of $170,034. Each unit consists of one common share at $0.07 and one common share purchase warrant at $0.13 for a period of two years. The Company shall have the right to call the outstanding warrants for expiry upon 20 days notice in the event that the closing price of the common shares of the Company on the TSX-V is above $0.23 for 7 consecutive trading days. The units issued under the private placement are subject to a four-month hold period from the date of closing.

Directors and insiders participated in this private placement. The Company is relying on exemptions from the formal valuation and minority shareholder approval requirements provided under sections 5.5(a) and 5.7(1)(a) of Multilateral Instrument 61-101 on the basis that participation in the Offering by insiders does not exceed 25% of the fair market value of the Company's market capitalization.

The proceeds of the private placement will be used for corporate purposes.
