Orex Announces Non-Brokered Private Placement

VANCOUVER, BRITISH COLUMBIA -- (Marketwired - Sept. 25, 2013) - Orex Minerals Inc. (TSX VENTURE:REX) ("Orex") announces that it is undertaking a non-brokered private placement (the "Offering") for gross proceeds of up to $5,000,000. The Offering consists of up to 20,000,000 Units (the "Units") of the Company at a price of $0.25 per Unit. Each Unit will consist of one common share and one half of a transferrable common share purchase warrant ("Warrant"). Each whole Warrant will be exercisable for one common share at $0.30 for a period of 24 months from closing.

Orex may pay finder's fees for the Offering of up to 7% in cash or Orex Shares at the discretion of Orex.

The Offering is subject to certain conditions including, but not limited to, receipt of all necessary corporate and regulatory approvals, including the approval of the TSX Venture Exchange and the securities regulatory authorities. All Orex Shares issued under the Offering will be subject to a hold period of under securities law of four months and a day from the date of the closing.

Orex intends to use the net proceeds of the placements to fund additional exploration of the Barsele Gold Project in Sweden, to fund exploration of the Los Crestones Project in Mexico and for general working capital purposes.
